Ms. Inna Makhniboroda provides legal counsel for international corporations and international organizations, and has more than 8 years of experience in the area of business and international law. Her expertise includes international contract drafting and negotiation; international corporate structuring and international tax planning; corporate governance, M&A and joint ventures; international project financing (IPO/Eurobonds); oil & gas consultancy; consultancy in real estate and textile businesses; application of international law in notary, civil, commercial and foreign investment areas; and interpretation of international treaties. In her practice, Ms. Makhniboroda has specialized in the structuring of international businesses and the prevention of legal risks. She is a founding partner of E&M Business Lawyers.
Before founding E&M Business Lawyers, Ms. Makhniboroda was General Counsel at Megapolis Group, a European and Russian group of companies in businesses as diversified as fuel and energy, light industry, real estate and resort development, where her professional activities were focused on international legal consultancy for the development of projects, project financing for energy, real estate and textile businesses, debt and equity financial structures, international contract drafting and negotiation, international corporate structuring, corporate governance matters and cooperation with state authorities.
While working for the Megapolis Group, she acted in direct cooperation with international partners from the USA, Great Britain, Germany, Switzerland, Italy, Turkey, Cyprus, etc., in businesses such as chemical production, real estate and financial services. Ms. Makhniboroda was the main company advisor for the operations with international banks on debt and equity financial transactions in Europe and Russia and a consultant for the Megapolis Group’s Board of Directors on the international relations of the corporation.
In her practice, Ms. Makhniboroda has served as an independent advisor for the Notary Chamber in the Southern Federal Region of Russia on questions of the application of international law, and as an external consultant for the international projects of a local government.
Ms. Makhniboroda is a graduate of the LLM program at the University of Cambridge, and she obtained her PhD degree from the Diplomatic Academy of the Ministry for Foreign Affairs of the Russian Federation with specialization in international law. Also, she received her law degree with distinction from the Southern Federal University. In the framework of her academic activity, Ms. Makhniboroda worked for more than 6 years as a university professor of international law and took part in different international moot court and essay competitions, both as a contestant and a judge, among them, the Jessup International Moot Court Competition and the Martens International Competition on International Humanitarian Law, where she received different international awards. In 2005, she specialized in international humanitarian law at the University of Turku (Finland).
She is a native Russian speaker and fully proficient in the English and Spanish languages; also, she has comprehension of Italian.
